1. Eligibility.  This Vindale Media, LLC “Twitter Tuesdays” Sweepstakes (the “Promotion”) is open only to legal U.S. residents currently residing in the fifty (50) United States and the District of Columbia who are eighteen (18) years or older at the time of entry. Void in Guam, Puerto Rico, the U.S. Virgin Islands, and other U.S. territories and possessions, U.S. military installations in foreign countries, outside the United States, and where prohibited by law.  Employees, officers and directors of Sponsor or any of its parents, franchisees, subsidiaries, affiliates, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, marketing partners, fulfillment, and marketing agencies, web site providers, web masters, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. All entrants must have access to the Internet, and an account at twitter.com prior to the start of the Promotion.  This is an ongoing promotion, and is offered every Tuesday until Sponsor announces otherwise.  Entrants are only eligible for prizes offered on the day of their entry.  Sponsor reserves the right to verify the eligibility of winners. Participation constitutes entrant´s full and unconditional agreement to these Official Rules and to Sponsor´s decisions, which are final and binding in all matters related to the Promotion.
2. Timing.  Subject to all federal, state, and local laws, regulations, and ordinances. Promotion begins at 10:00:00 AM Eastern Time (“ET”) and ends at 1:59:59 PM ET every Tuesday, as announced on Sponsor’s Facebook page. (the “Promotion Period”).  Void in Guam, Puerto Rico, the U.S. Virgin Islands, all other U.S. territories and possessions, U.S. military installations in foreign countries, outside the United States, and where prohibited by law.  This is an ongoing promotion, and is offered every Tuesday until Sponsor announces otherwise.  Entrants are only eligible for prizes offered on the day of their entry.
3. How to Enter.  During the Promotion Period, visit www.vindale.com and follow the instructions to create a Vindale Member Profile, and follow @vindale on twitter.com.  This process will include submitting your name, mailing address, telephone number, email address and confirmation of your email address.  Upon entering, each member will receive a “Referral Link”, which must be used to verify the entry (see section 4 below).  Purchase of a product and/or services is not required.  There is a limit of one entry per person.  Any attempt by a person to enter more than once with multiple e-mail accounts for a single individual will result in disqualification at the discretion of the judges during the prize winner verification process.  Sponsor reserves the right to reject any entry that it believes, in its sole discretion, is fraudulent, incomplete or otherwise invalid.Sponsor and Sponsor´s agents, affiliates, marketing partners, subsidiaries, representatives, and service providers may use entrants´ personal information submitted with entry for purposes of prize fulfillment and/or for future marketing by Sponsor or its affiliates and marketing partners, such as to notify them of a product or promotion that Sponsor thinks may be of interest. Entries must be submitted by the participant. Use of automated entries or programs or entries submitted by third parties is prohibited and will be disqualified. Any attempt by any participant to obtain more than the permitted number of entries by using multiple and/or different identities, forms, registrations, addresses or any other method will void all of that participant´s entries and that participant may be disqualified at Sponsor´s discretion. Multiple participants are not permitted to share the same email address. All entries become the property of Sponsor when submitted and will not be returned to entrant. Normal Internet, phone and usage charges imposed by your online or phone service may apply. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. In the event of a dispute as to the identity of an entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant or participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider, or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.
4. Winner Selection and Verification.  On or about every Tuesday at 2:00 pm, Sponsor will select one potential winner in a random drawing from all eligible entries received. Odds of winning a prize depend on the number of eligible entries received. Potential winners will be notified via Twitter within one day of being selected.  Potential winners are verified by responding on twitter.com by Tweeting their Referral Link.  Potential winners who do not Tweet their Referral Link are disqualified.  Sponsor’s decisions as to the administration and operation of the Promotion and the selection of the potential winner is final and binding in all matters related to the Promotion.  Winning a prize is contingent upon fulfilling all requirements set forth herein.AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT´S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.
5. Prize.  One prize will be awarded per day.  Each prize is $2.00 which will be paid as a direct credit to the potential winner’s Vindale account.  Any and all applicable federal, state, and local taxes are the sole responsibility of the individual prize winner.
6. General Conditions.  This Promotion is governed by the laws of the United States. Void where prohibited by law and outside the United States. WARNING: ANY ATTEMPT BY A ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE ASSOCIATED WITH THIS PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor´s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any entrant regarding this Promotion, except as expressly set forth in these Official Rules. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, the web site, and/or the legitimate operation of the Promotion; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. Sponsor and its agents are not responsible for (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant´s participation in the Promotion or receipt or use or misuse of any prize. Warranty.  WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION, INCLUDING THE PRIZE, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. 10. Disputes.  Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of the winner, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in the City of New York, New York; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
